KCB Uganda seeks to fill the position of: Company Secretary, Head of Legal & Compliance
Reports to: The Managing Director
Job Purpose: This role oversees the legal and compliance department and holds lead responsibility for the provision of legal services, overall compliance oversight, general counsel, advisory support and operational execution of the corporate governance policies and procedures of KCB Bank Uganda. The role ensures the effective management of the Company’s legal affairs; safeguarding of the Company’s interests by ensuring compliance and minimizing legal risk and rendering appropriate legal advice to the management; and driving the continual enhancement of industry standards in all facets of legal work. The roles services and operations include contract negotiation, preparation and management, litigation management, corporate, conveyancing, regulatory compliance and enforcement, legal/statute awareness training, Company Secretarial services legal advisory services to the KCB Bank Uganda Board and the implementation of board decisions.
Key Responsibilities include:
• The Company Secretary of the KCB Bank Uganda Limited Board: organizing, preparing agendas for, and taking minutes of board meetings, committee meetings and annual general meetings (AGMs) and communicating promptly and ensuring implementation of any decisions for action across the Company;
• Contract negotiation, preparation and management, including the drafting and preparation of terms and conditions of retail financial service contracts and various banking product terms, commercial banking facility terms and standard security documentation, negotiations with customers and customers’ counsel from commencement through deal closure and post closure follow up and operational implementation; drafting and preparation of commercial leases, service contracts and ensuring compliance with legislative requirements and identification and mitigation of legal risks.
• Establishing effective Know Your Customer (KYC), Anti Money Laundering (AML) and Control of Financing Terrorism (CFT) compliance mechanism in line with policy and legislation and championing programs aimed at providing training and awareness on KYC, AML and CFT across the Bank
• Monitoring changes in relevant legislation and the regulatory environment, and taking appropriate action. Researching and submitting legal opinions concerning security documentation, real estate development, government regulations and new regulations and trends affecting the organisation, including but not limited to staff training
• Effective litigation management, including cost management and liaising with and managing external lawyers.
• Liaise with relevant departments to ensure that where legal risks have been identified, appropriate mitigation is in place. Provide legal protection and risk management advice to management on contract management, employee related matters and general commercial law.
• Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements. Review and advise management on legal implications of internal policies and procedures.
• Managing and developing staff in the Legal Services Department;
• Liaising with external regulators and advisers, such as lawyers and ensuring proper, timely and cost-effective advice is available to the bank;
• Developing and overseeing the systems that ensure the company complies with all applicable codes, as well as its legal and statutory requirements.

Qualifications
• Bachelor of Laws Degree
• Diploma in Legal Practice
• Master’s in Business Management or Law
Experience required
• Minimum 10 years working experience, of which at least 6 should be in Senior Management positions in a corporate legal capacity within a fast paced, fast evolving and dynamic environment preferably a banking institution
• Successful experience leading negotiations on complex high value contracts and agreements
• Demonstrable track record producing effective and high quality legal advice to departmental heads within a business
• Proven and successful experience creating departmental priorities that align the strategic direction of the legal department and the overall business objectives
• Proven experience in relationship management and demonstrated ability to lead a legal team and develop talent to drive value across the business
• Exceptionally good communication
• Good understanding and experience with the regulatory environment for the Banking and financial services sector
• Ability to identify and remedy complex issues
• Results and service driven individual with exceptionally good problem solving skills, highly adaptable; flexible and comfortable working in a fast paced and dynamic environment
• Ability to handle multiple simultaneous tasks and meet tight deadlines
• Proactive and self-motivated, keen eye for detail and ability to remain calm in times of uncertainty and stress
• Good leadership skills and an ability to influence cross functional teams towards a unified direction along with Senior leadership and relevant stakeholders
